Zepto IPO May Be Delayed Amid Valuation Negotiations
Zepto’s much-awaited IPO has entered a critical phase, with reports suggesting the quick-commerce company is still negotiating its valuation with institutional investors. The outcome of these discussions could determine not only the company’s IPO pricing but also the size and timing of its public issue.
According to media reports, Zepto is yet to finalize its IPO valuation as investors remain divided on the company’s pricing. While the market had earlier expected the company to seek a valuation of around $3.5–4 billion, several institutional investors are reportedly comfortable only at a valuation closer to $2.5 billion. If negotiations remain unresolved, the IPO could be deferred by a few weeks.
The reported valuation marks a sharp decline from Zepto’s $7 billion valuation achieved during its funding round in October 2025. Such a reduction would underscore the widening gap between private-market valuations and public-market expectations, as investors continue to prioritize profitability, cash flows, and sustainable growth over aggressive expansion.
The valuation debate could also impact the size of the IPO. Zepto had initially planned to raise around ₹8,100 crore through its public offering. However, reports indicate that the company is evaluating a smaller fundraising amount if it proceeds with a lower valuation. A reduced issue size could help improve subscription demand while allowing the company to balance capital requirements with prevailing market sentiment.
Another key factor is the validity of Zepto’s Updated Draft Red Herring Prospectus (UDRHP), which remains effective until August 21. If the company decides to postpone the IPO beyond this period, it may need to complete additional regulatory procedures before launching the public issue.
For zepto unlisted investors, the final IPO valuation will be closely watched. A lower-than-expected pricing could influence returns for existing shareholders. At the same time, a more realistic valuation could improve institutional participation and lay the foundation for stronger post-listing performance.
As of now, Zepto has not officially confirmed any changes to its IPO valuation, fundraising plans, or listing timeline. Until the company provides formal clarification, the reported valuation discussions and potential changes to the issue size remain based on media reports.
