NSE IPO is Finally Back On Track

After nearly a decade of regulatory uncertainty, the NSE IPO is finally back on track. The National Stock Exchange (NSE) has cleared its biggest hurdle after reaching a ₹1,491.21 crore settlement with SEBI, significantly improving the prospects of its long-awaited public listing. The settlement resolves the long-pending co-location and dark fibre cases that had delayed the IPO since 2015, when allegations surfaced that certain brokers received preferential access to NSE’s trading servers through its co-location facility and dark fibre connectivity. Under the settlement, NSE will pay ₹714 crore to SEBI, while ₹776 crore already deposited with the regulator will be adjusted, taking the total settlement amount to ₹1,491.21 crore.

With this regulatory overhang largely removed, the NSE IPO is expected to move forward in the coming months. According to the Draft Red Herring Prospectus (DRHP), the offering will be entirely an Offer for Sale (OFS) of up to 14.89 crore equity shares with a face value of ₹1 each, representing nearly 6% of NSE’s paid-up equity capital. Existing shareholders, including institutions such as SBI and Bank of Baroda, are expected to sell part of their holdings through the issue. The IPO is estimated to be worth around ₹30,000 crore, making it one of the largest public offerings in India’s capital market history. As per the DRHP, the exchange will be listed only on the BSE.
