Unlisted shares are equity shares of companies that are not traded on a public stock exchange such as NSE or BSE. These shares belong to companies that are privately held or planning to go public in the future (pre-IPO companies). Investors can buy or sell these shares through private transactions or specialized intermediaries.
Unlisted shares are transferred digitally through the Demat account of the buyer. The process generally includes: The buyer places an order for the shares. Payment is made to the seller or intermediary. The seller initiates an off-market transfer from their Demat account. The shares are credited to the buyer’s Demat account through NSDL or CDSL. The transfer happens through a Delivery Instruction Slip (DIS) or electronic off-market transfer.
Unlisted shares can offer high growth potential, but they also carry higher risk compared to listed stocks. Key risks include: Lower liquidity (harder to sell quickly) Limited public information Price volatility Dependence on company performance or IPO plans Investors should always research the company carefully before investing.
The lock-in period depends on when the shares are purchased. If unlisted shares are bought before the company files its DRHP, there is usually no lock-in period. However, if they are purchased after DRHP filing but before the IPO, a 6 months lock-in period after listing may apply as per regulations of the Securities and Exchange Board of India (SEBI).
